Your starting point

A Kentucky seller should establish whether the wash uses a local sewer authorization or a KPDES discharge permit, then resolve the ownership handover for that actual file. Explain storm and freeze interruptions with operating records and confirm that traffic can reach the entrance. The permit holder, business seller and property owner may be different entities.

Make the permit handover part of the closing plan

Kentucky DOW separates KPDES discharges to state waters from industrial pretreatment oversight for discharges to publicly owned treatment works. Obtain the authorization that matches the actual wastewater destination. Its general-permit index includes many industries; a code appearing in that list should not be assigned to a wash because it looks similar to another state’s vehicle-wash permit.

For an applicable KPDES permit, the currently linked Transfer of Permit Request identifies the present holder, proposed owner/operator, effective date and new NetDMR contact. Its instructions state that transfer does not become effective until acknowledged by DOW. Retain the required agreement on responsibility and the agency acknowledgment; a signed purchase agreement alone is not that acknowledgment.

A buyer adding capacity or changing chemicals may need a different review from a buyer continuing the same operation. Give the authority a clear existing-versus-proposed description. Do not assume an operator change approves an expansion, and do not terminate existing coverage without coordinating continuity.

Distinguish a regional storm from a site-level earnings adjustment

NOAA’s 2022 Kentucky summary describes warm, humid summers, occasional very cold winter air, ice and snowstorms, and heavy-rain flash flooding. That provides a reason to investigate interruption exposure. It does not prove that a particular property flooded, lost access or suffered equipment damage.

Build an event log showing when the wash stopped, whether customers could reach it, which equipment was affected, the repair completion date and any recovery received. For a low-lying entrance, keep access-road disruption separate from damage to the wash itself. Both may affect sales, but they lead to different continuity and property questions.

Illustrative review: an invoice replaces a damaged pump with a larger unit, while the seller proposes adding back the whole cost. Separate the repair, the upgrade and any insurance recovery. Then show whether the buyer must keep paying for preventive work. A documented storm does not automatically make every associated expense nonrecurring.

Support the customer route rather than only the corridor count

KYTC’s traffic resources include station locations, AADT, classifications, adjustment factors and historical observations. Record the source year and location when using a count in sale materials. Vehicle classification can help explain why a heavily traveled corridor may contain traffic that is not suitable for the wash’s format or dimensions.

For a wash near a highway interchange, trace the route from the exit to the actual drive. Identify turning restrictions, shared access and stacking space. For a smaller-town wash, test whether repeat visits appear in memberships or customer records instead of relying on a general claim that everyone passes the property.

Keep announced road or retail projects separate from existing earnings. If a project changed traffic during the historical period, retain its actual dates and compare the same months in the operating records. Do not apply a fixed capture rate to AADT and present the result as proven wash demand.

Align the entities, dates and open obligations

Kentucky has 224 employer establishments in the historical 2023 washing/detailing extract, ranking twenty-ninth. Neither the count nor neighboring-state transaction anecdotes establish the value of an individual Kentucky wash.

Create a closing responsibility schedule listing each material item, the responsible party, evidence of completion and any dependency. Include permit acknowledgment where applicable, sewer correspondence, lease consents, equipment service agreements, reporting access and unfinished repairs. Have the transaction advisers align this schedule with the sale structure.

  • Locate the facility-specific permit or sewer record.
  • Resolve the actual transfer process and acknowledgment timing.
  • Explain interruption costs with invoices, dates and recoveries.
  • Verify the rights needed for the buyer to reach and operate the property.

Owner questions

Does signing a purchase agreement transfer a Kentucky KPDES permit?

No. DOW’s transfer instructions state that the transfer is not effective until acknowledged by the division. Follow the process for the actual permit and align it with the transaction.

Does every Kentucky car wash need the same wastewater permit?

No single route should be assumed. Establish whether washwater goes to a sewer system, a permitted direct discharge or another arrangement, then confirm the requirements with the responsible authority.
